Allgemeine Geschäftsbedingungen

 

1. Gegenstand des Auftrags ist die Erstellung und Überlassung von Fotografien (nachfolgend: „das Werk“) zu dem vertraglich vereinbarten Zweck.

2. Die vom Fotografen durchgeführten Aufträge werden ausschließlich zu den nachstehend aufgeführten Bedingungen abgewickelt; der Auftraggeber erkennt diese Bedingungen für den vorliegenden Auftrag und zugleich für alle zusätzlichen und zukünftigen Geschäfte mit dem Fotografen an.

3. Es gilt nur das als vereinbart, was in den Auftragsbestätigungen enthalten ist und zuvor bei der Auftragserteilung besprochen wurde. Mehrkosten durch Erweiterungen des ursprünglichen Auftrages werden zusätzlich in Rechnung gestellt. Durch den Auftrag anfallende Nebenkosten (z.B. Material- und Laborkosten, Requisiten, Modellhonorare, Reisekosten, Spesen etc.) sind vom Auftraggeber zu tragen. Auf die vom Fotografen in Rechnung gestellten Honorare und sonstigen Entgelte ist die jeweils gesetzliche Mehrwertsteuer zu zahlen. Die Künstlersozialversicherungs-Abgabe ist vom Auftraggeber zusätzlich zu entrichten und nicht im Honorar enthalten.

4. Der Fotograf ist der alleinige Inhaber aller urheberrechtlichen Nutzungsrechte an dem Werk. Dem Auftraggeber werden urheberrechtliche Nutzungsrechte ausschließlich zu dem vertraglich vereinbarten Zweck eingeräumt. Ohne ausdrückliche Zustimmung des Fotografen dürfen diese Nutzungsrechte weder ganz noch teilweise an Dritte übertragen werden. Insbesondere erwirbt der Auftraggeber kein Eigentum an dem überreichten Fotomaterial. Die sich aus dem Vertrag ergebende Nutzung ist durch das Honorar abgedeckt. Eine weitergehende Nutzung bedarf der ausdrücklichen schriftlichen Zustimmung und ist gesondert zu entgelten. Währungsschwankungen trägt der Auftraggeber. Der Auftraggeber wird nach Veröffentlichung Belegstücke zur Verfügung stellen.

5. Alle nach diesem Vertrag an den Auftraggeber zu übertragenden Rechte verbleiben bis zur vollständigen Zahlung beim Fotografen. Erst nach vollständiger Zahlung der vereinbarten Honorare darf der Auftraggeber die Nutzungsrechte ohne Zustimmung des Fotografen selbst im vertraglichen Umfang nutzen bzw. an den in dem Vertrag bezeichneten Dritten übertragen. Die aus der Übertragung der Rechte auf Dritte resultierenden Ansprüche des Auftraggebers werden bereits jetzt in Höhe der zwischen dem Fotografen und dem Auftraggeber vereinbarten Honorare und sonstigen Entgelte an den Fotografen abgetreten. Der Auftraggeber ist berechtigt, die an den Fotografen abgetretene Forderung von Dritten im eigenen Namen für Rechnung des Fotografen einzuziehen. Er hat den eingezogenen Betrag innerhalb von sieben Tagen nach Eingang bei ihm an den Fotografen auszuzahlen. Der Auftraggeber ist nicht berechtigt, die Aufrechnung mit vom Fotografen bestrittener bzw. nicht rechtskräftig festgestellter Gegenansprüche zu erklären. Der Auftraggeber ist ferner nicht berechtigt, seine ihm gegen den Fotografen zustehenden Forderungen und Rechte an Dritte abzutreten bzw. zu übertragen.

6. Der Fotograf hat Anspruch darauf, bei der Verwendung seines Werkes als Urheber benannt zu werden. Ferner ist der Fotograf berechtigt, die von ihm hergestellten Fotografien zum Zwecke der Eigenwerbung zu verwenden.

7. Jede Art von Vervielfältigung, Reproduktion, Veränderung, Bearbeitung, öffentliche Wiedergabe, Umgestaltung zur Reproduktion auf andere Bildträger etc. bedarf, soweit sie nicht von der vertraglich vereinbarten Nutzung gedeckt ist, der ausdrücklichen schriftlichen Zustimmung des Fotografen. Insbesondere ist der Auftraggeber nicht berechtigt, das Werk zu scannen und/oder digital, auch in Teilen zu speichern, zu bearbeiten, umzugestalten, zu vervielfältigen, zur Herstellung neuer digitaler Bilder zu verwenden bzw. auf andere Medien- und Bildträger zu übertragen.

8. Bei unberechtigter Verwendung, Weitergabe sowie sonstiger nicht vereinbarter Nutzung wird vorbehaltlich weiterer Schadenersatzansprüche ein Mindesthonorar des fünffachen vereinbarten Nutzungshonorars fällig.

9. Die Gefahr für den zufälligen Untergang und die Beschädigung geht auf den Auftraggeber über, sobald das zu liefernde Material an die den Transport ausführende Person übergeben worden ist. Dies gilt auch, wenn der Fotograf selbst den Transport ausführt. Der Transport wird von dem Fotografen nur auf ausdrücklichen Wunsch des Auftraggebers und auf dessen Kosten versichert.

10. Sämtliche Eigentumsrechte am Original des Werkes verbleiben beim Fotografen. Der Fotograf ist nicht verpflichtet, die von ihm hergestellten Fotografien oder Datenträger, auf denen diese Fotografien gespeichert sind, zu archivieren.

11. Der Auftraggeber hat auf seine Gefahr und Kosten die ihm überreichten Originale des Werkes unverzüglich nach ihrer Verwendung an den Fotografen zurückzusenden. Werden die Originale trotz einer schriftlichen Mahnung nicht zurückgesendet oder gehen sie unter, ohne daß der Fotograf dies zu vertreten hat, so ist er berechtigt, eine Verlustgebühr zu berechnen. Diese beträgt für jedes fotografische Original das Zweifache des vereinbarten Honorars, mindestens aber 2.000,- Euro.

12. Mängelrügen müssen umgehend nach Erhalt des Materials schriftlich erfolgen. Nach Ablauf einer Frist von drei Werktagen gilt das Werk in bezug auf offene Mängel als vertragsgemäß und mängelfrei abgenommen. Mögliche Schadenersatzansprüche des Auftraggebers gegen den Fotografen verjähren in einem Jahr, soweit sie nicht auf vorsätzlichem Handeln beruhen. Die Verjährungsfrist beginnt mit der Lieferung der erstellten Werke.

13. Schadenersatzansprüche gegen den Fotografen oder seine Erfüllungsgehilfen sind nur bei grob fahrlässigem und vorsätzlichem Handeln möglich, es sei denn, es handelt sich um eine schuldhafte Verletzung wesentlicher Vertragspflichten sowie um Schäden wegen der Verletzung des Lebens, des Körpers oder der Gesundheit. Für Fotomodell-Kosten, Reisespesen etc. haftet der Fotograf nicht. Die Geltendmachung eines mittelbaren Schadens ist ausgeschlossen. Geht das Werk beim Fotografen unter, ohne daß er dies zu vertreten hat, so berührt dies seinen Honoraranspruch nicht.

14. Wird ein Auftrag aus Gründen, die der Fotograf nicht zu vertreten hat, nicht ausgeführt, kann er ein Ausfallhonorar in Höhe von 50% des vereinbarten Honorars berechnen, ohne daß es eines Schadensnachweises bedarf. Wird ein bereits begonnener Auftrag nicht fertig gestellt, ohne daß dies der Fotograf zu vertreten hat, so steht ihm das volle Honorar zu. Als begonnen gilt ein Auftrag, wenn der Fotograf mit der Ausführung seiner vertraglich geschuldeten Leistung angefangen hat. Wird die für die Durchführung des Auftrages vorgesehene Zeit aus Gründen überschritten oder verschoben bzw. aus Gründen wiederholt, die nicht vom Fotografen zu vertreten sind, z.B. bei nachträglich abweichenden Wünschen vom Briefing, schlechtem Wetter, nicht rechtzeitiger Bereitstellung von Produkten, Fehlern im Labor, Nichterscheinen der Fotomodelle, Reisegepäckverlust etc., erhöht sich das Honorar im Verhältnis zu dem ursprünglich vereinbarten Honorar. Die Nebenkosten erhöhen sich in diesem Fall nach Aufwand.

15. Schadensersatzansprüche gegen den Fotografen sind der Höhe nach begrenzt auf die Höhe des vereinbarten Honorars. Beiden Vertragsparteien bleibt vorbehalten, den Nachweis zu führen, ein höherer bzw. ein geringerer oder gar kein Schaden sei entstanden. Mit der Bezahlung eines Schadenersatzanspruches oder durch die Zahlung sonstiger Kosten und Gebühren erwirbt der Auftraggeber keine Eigentums- oder Nutzungsrechte an den Fotografien.

16. Bei Nichtnennung des Fotografen als Urheber kann ein Aufschlag von 100% auf das vereinbarte Honorar berechnet werden.

17. Das Recht zur Veröffentlichung von Fotografien, auf denen sich Personen befinden, wird erst nach ausdrücklicher schriftlicher Zustimmung der abgebildeten Personen auf den Auftraggeber übertragen.

18. Der Auftraggeber bzw. ein von ihm Bevollmächtigter ist verpflichtet, während des Shooting anwesend zu sein und seine Zustimmung zu der gestalterischen Auffassung des Fotografen zu geben. Sofern weder der Auftraggeber selbst, noch ein Bevollmächtigter bei dem Shooting anwesend ist, kann die künstlerische Gestaltung des Werkes nicht zu einem späteren Zeitpunkt vom Auftraggeber abgelehnt werden. In einem solchen Fall ist jede neue Erstellung von Fotografien gesondert zu honorieren.

19. Die dem Fotografen zum Fotografieren gegebenen Gegenstände sind vom Auftraggeber gegen Beschädigung, Verlust, Diebstahl etc. zu versichern; der Fotograf kann hierfür keine Haftung übernehmen.

20. Für den Fall, daß der Fotograf von dem Auftraggeber beauftragt wird, ein ihm zur Verfügung gestelltes Layout umzusetzen und gegen den Fotografen wegen der Umsetzung Schadensersatz- oder sonstige Ansprüche geltend gemacht werden, hält der Auftraggeber den Fotografen von sämtlichen Ansprüchen Dritter frei und verpflichtet sich, die Kosten für eine angemessene Rechtsverteidigung des Fotografen zu übernehmen.

21. Nebenabreden oder von diesen Allgemeinen Geschäftsbedingungen abweichende Vereinbarungen bedürfen der Schriftform. Wird eine Bestimmung des Vertrages oder dieser Allgemeinen Geschäftsbedingungen unwirksam, berührt dies nicht die Wirksamkeit der übrigen Allgemeinen Geschäftsbedingungen und des Vertrages. Die etwaige Ungültigkeit oder Nichtigkeit einzelner Bestimmungen dieser Allgemeinen Geschäftsbedingungen und dieses Vertrages hat nicht die Nichtigkeit der gesamten Allgemeinen Geschäftsbedingungen und des gesamten Vertrages zur Folge. Die Parteien verpflichten sich vielmehr in diesem Falle, die ungültigen oder nichtigen Bestimmungen durch solche zu ersetzen oder umzudeuten, die im Rahmen des Zulässigen dem hier Vereinbarten möglichst nahe kommen und den gewünschten wirtschaftlichen Zweck zu erreichen geeignet sind. Entsprechendes gilt für Ausfüllung von Lücken, die sich in den Allgemeinen Geschäftsbedingungen und in diesem Vertrag eventuell herausstellen sollten. Erfüllungsort und Gerichtsstand ist für beide Teile, soweit gesetzlich zulässig, der Geschäftssitz des Fotografen. Es gilt das Recht der Bundesrepublik Deutschland. Auch bei Lieferungen ins Ausland gilt deutsches Recht als vereinbart. Für den Fall, daß der Fotograf keinen allgemeinen Gerichtsstand im Inland hat oder nach Vertragsabschluß seinen Wohnsitz oder gewöhnlichen Aufenthaltsort aus dem Geltungsbereich der Bundesrepublik Deutschland verlegt oder sein Wohnsitz oder gewöhnlicher Aufenthaltsort im Zeitpunkt der Klageerhebung nicht bekannt ist, wird als Gerichtsstand der Sitz des Fotografen vereinbart. Die Bestimmungen des UN-Kaufrechts, Wiener Übereinkommen über Verträge über den internationalen Warenverkauf vom 11. April 1980 CISG, finden keine Anwendung. Terms & Conditions

1. The purpose of the order is the creation of and permission to use photographs (hereafter „Imagery“) for the purpose contractually agreed upon.

2. Orders to be carried out by the photographer (hereafter „Photographer“) will only be executed in accordance with the terms and conditions hereof; the client (hereafter „Client“) agrees to these Terms and Conditions with regard to the relevant order as well as all additional and future business transactions with the Photographer.

3. The agreement only covers what is included in the order confirmation and what was decided upon when the order was placed. Any additional costs incurred due to additions to the original scope of the order will be invoiced accordingly. Any incidental costs (including, but not limited to, materials, laboratory, props, models, travel, etc.) shall be covered by the Client. All professional fees and other charges invoiced by the Photographer are subject to value-added tax at the rate that is valid at the time of invoicing. The Client shall pay the charge levied by the German social security service for artists, which is not included in the professional fees.

4. The Photographer is the sole owner of all copyright-related usage rights with regard to the Imagery. The Client is entitled to use the Imagery solely for the purpose stated in the agreement. These usage rights may not be transferred in whole or in part to any third party without the Photographer’s express consent. In particular, the Client does not acquire ownership of the Imagery provided. The terms of use set forth in the agreement are covered by the professional fees. Any usage for other purposes requires express written consent and shall be compensated for separately. The Client shall cover any currency fluctuations. After the Imagery is published, the Client shall furnish samples.

5. All rights to be transferred to the Client in accordance with the agreement will remain with the Photographer until payment has been received in full. Only after full payment of all professional fees agreed upon will the Client be entitled to take advantage of all usage rights within the scope of the agreement and may transfer them to any third party stated in the agreement without the Photographer’s consent. Claims to which the Client is entitled due to the transfer of rights to third parties shall be assigned to the Photographer in the amount of the professional fees plus any other charges agreed upon between the Photographer and the Client. The Client is entitled to make claims transferred to the Photographer from third parties in its own name and on behalf of the Photographer. The Client shall pay the Photographer amounts collected within seven (7) days after the Client has received them. The Client may not offset amounts due against counterclaims that are contested by the Photographer or that are not legally final and absolute. Moreover, the Client is not entitled to relinquish or transfer any of his or her claims or rights against the Photographer to any third party.

6. The Photographer is entitled to be mentioned as the creator when the Imagery is used. Furthermore, the Photographer is entitled to use the Imagery he or she produced to promote his or her own business.

7. Unless otherwise included in the agreement, any form of reproduction, distribution, modification, editing, publication, transformation for the purpose of reproduction for other media, etc. is subject to the Photographer’s express written consent. In particular, the Client is not entitled to scan the Imagery and/or digitally store, edit, manipulate or reproduce all or parts of it, use it to create new digital images or transfer it to other devices for media or images.

8. Apart from possible claims for damages, unauthorized use, distribution or any other use not agreed upon will result in a minimum of five (5) times the amount of the usage fees agreed upon.

9. The Client assumes the risk of accidental loss or damage as soon as the materials to be delivered are handed over to the person in charge of transportation. This also applies if the Photographer handles transportation him- or herself. The Photographer will purchase transportation insurance only at the Client‘s express request and at the Client‘s expense.

10. All proprietary rights to original Imagery will remain with the Photographer. The Photographer is not required to archive Imagery he or she produced or media on which Imagery is stored.

11. The Client must return original Imagery provided to him or her immediately after use to the Photographer at the Client‘s own risk and expense. If the Client fails to return the originals even after having received a written reminder, or if the originals become lost for reasons which the Photographer cannot be held accountable, the Photographer is entitled to compensation. This compensation will be no less than two thousand (2,000) euros or twice the professional fees agreed upon for each original piece of Imagery, whichever is greater.

12. The Client must file any complaints in writing and immediately upon receipt of materials. As for patent defects, the Imagery shall be considered accepted without defects and in accordance with the agreement after a period of three (3) working days. Any damages that may be claimed by the Client from the Photographer are subject to a limitation of one (1) year except in cases of intent. The period of limitation commences upon delivery of the Imagery.

13. Damages may be claimed against the Photographer or a person whom the Photographer uses to perform his/her obligations only in cases of gross negligence and willful intent unless the Photographer or the person whom the Photographer uses to perform his/her obligations are responsible for the violation of principal contractual obligations or for damage arising from loss of life, physical injury or damage to health. The Photographer is not liable for costs incurred with regard to models, travel, etc.. Enforcement of a claim for indirect damage shall be excluded. If Imagery becomes lost while with the Photographer for reasons which the Photographer cannot be held accountable, the loss will not affect his or her claim to remuneration.

14. The Photographer is entitled to receive cancellation fees equivalent to 50% of professional fees agreed upon if the order cannot be executed for reasons which the Photographer cannot be held accountable without having to provide proof that damage has occurred. If an order has been initiated but is not completed for reasons which the Photographer cannot be held accountable, the Photographer will be entitled to the full amount of professional fees. An order is considered as initiated once the Photographer begins rendering the service as set forth in the agreement. If the time required to execute the order is exceeded or if the execution of the order is delayed or repeated for reasons which the Photographer is not responsible - e. g. due to last-minute changes to the original briefing, inclement weather, late delivery of products, mistakes at the photo laboratory, non-appearance of models, loss of luggage, etc.—, the professional fee will increase in relation to the fees agreed upon for the initial scope of service. In this case, incidental expenses will increase according to the actual costs incurred.

15. Claims against the Photographer for damages are limited to the amount of professional fees agreed upon. Both parties to the agreement reserve the right to prove that the damage is higher or lower or that no damage has occurred at all. By providing payment for damages or other costs and charges incurred, the Client acquires no property or usage rights to the Imagery.

16. Any failure to mention the Photographer as the creator of the Imagery may result in a 100% surcharge on the agreed upon professional fees.

17. The right to publish Imagery featuring individuals will not be transferred to the Client until after the individuals depicted have provided their express written consent.

18. The Client or an individual authorized by the Client is required to be on site during a shoot and to provide his or her approval of creative concepts expressed by the Photographer. If neither the Client nor an individual authorized by the Client is on site during a shoot, the Client will not be permitted to reject the creative execution of services at a later time. In such a case, each new variation of the Imagery produced must be paid for separately.

19. The Client is required to procure insurance against damage, loss, theft, etc. for objects provided to the Photographer in order to produce the imagery; the Photographer cannot assume liability for any such incidents.

20. If the Client commissions the Photographer to implement a layout with which he or she was provided and, based on the implementation of the layout, damages are claimed or any other claims are made against the Photographer, the Client shall release the Photographer from any claims made by third parties and undertake to bear all costs necessary to legally defend the Photographer in an appropriate fashion.

21. Modifications, supplements or amendments to these General Terms and Conditions must be in writing. If a provision of the agreement or these General Terms and Conditions becomes ineffective, the remaining provisions of the agreement and these General Terms and Conditions will remain in full force and effect. If any provision is deemed invalid or void, this will not mean that the entire agreement or all of these General Terms and Conditions are void. In the event that any provisions are deemed invalid or void, the parties to the agreement shall agree to replace or reinterpret such invalid or void provisions with provisions that most closely fulfill the intent and purpose as well as the desired business objective of the provisions permitted under the agreement and these General Terms and Conditions. This also applies in the event that it is necessary to close any loopholes that might arise in the agreement or these General Terms and Conditions. The place of performance and the place of jurisdiction for both parties to the agreement is the place of business of the Photographer, unless otherwise required by law. The agreement and these Terms and Conditions are governed by the laws of the Federal Republic of Germany. Any services rendered outside of the Federal Republic of Germany are also governed by German law. In the event that the Photographer has no general place of jurisdiction in Germany or relocates his or her domicile or primary residence to a place outside of the Federal Republic of Germany after execution of the agreement or his or her domicile or primary residence is unknown at the time legal action is taken, the place of jurisdiction will be the Photographer’s place of business. The terms and conditions of the United Nations Convention on Contracts for the International Sale of Goods signed on April 11, 1980 in Vienna, Austria do not apply.

22. The German language version of these General Terms and Conditions shall be the version used in the event any dispute arises hereunder. The English translation of these General Terms and Conditions is for convenience only and shall not be used by the parties or any court when interpreting or construing these General Terms and Conditions.
